Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and I9AuditReady (“we,” “us,” or “our”) governing your access to and use of I9AuditReady (the “Service”), accessible at i9auditready.com.

By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@i9auditready.com if you suspect unauthorized access.

We reserve the right to terminate or suspend your account at any time if you violate these Terms or engage in fraudulent, abusive, or harmful conduct.

You may not share your account with others or create multiple accounts for the purpose of circumventing plan limits or restrictions.

Paid plans are billed on a recurring subscription basis (monthly or annually, as selected) or as one-time payments, depending on the plan. All fees are in US Dollars and are non-refundable except as required by law or as expressly stated in these Terms.

Payment is processed securely by Stripe. By providing payment information you authorize us to charge the applicable fees. You are responsible for all applicable taxes.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of price changes for active subscriptions via email to the address on file. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

If a payment fails, your account may be downgraded to the free tier or suspended. We will attempt to notify you by email before suspension.

You may cancel your subscription at any time from your account billing dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

We do not provide prorated refunds for unused time within a billing period. If you believe you were charged in error, contact us at support@i9auditready.com within 30 days of the charge and we will review your request.

One-time purchases are non-refundable once the deliverable has been generated or downloaded, unless the deliverable is materially defective.

We reserve the right to terminate your account and subscription with 30 days notice if we discontinue the Service. In that event we will provide a prorated refund of any prepaid subscription fees.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Scrape, crawl, or systematically extract data from the Service without our written permission
• Upload or transmit malicious code, viruses, or any software intended to harm
• Use the Service to send unsolicited commercial communications (spam)
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service

The Service and all content, features, and functionality (including but not limited to software, text, graphics, logos, and data) are owned by I9AuditReady or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

You retain ownership of any data or content you submit to the Service. By submitting content you grant us a limited license to process that content solely to provide the Service to you.

Documents and outputs generated by the Service for you may be used for your personal or business purposes. You may not resell or redistribute Service outputs as a standalone product without our written consent.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any information provided through the Service.

Any documents, outputs, estimates, or analyses generated by the Service are provided for informational and preparatory purposes only and do not constitute professional legal, financial, tax, or regulatory advice. You should consult a qualified professional before relying on any Service output for important decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL I9AUDITREADY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless I9AuditReady and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

Before filing a formal legal claim, we encourage you to contact us at support@i9auditready.com to seek an informal resolution. We will make a good faith effort to resolve disputes within 30 days of receiving written notice.

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and, where required by law, notify you by email or in-app notice at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

Either party may terminate this agreement at any time. You may terminate by cancelling your account. We may terminate or suspend your access immediately, without prior notice, if we determine you have violated these Terms or if required by law.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.

We will retain your data for 30 days after account termination to allow export. After that period, your data will be permanently deleted from our systems unless we are required by law to retain it.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and I9AuditReady with respect to the Service and supersede all prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
